One of the formalities that need to be taken care of before officially operating a business is a small business agreement. You might think that a handshake or an oral agreement could be enough, but in many cases, they become void especially when things stray from the right path. To avoid misunderstandings from happening, putting your agreement into writing would be a good solution.

To produce a small business agreement that is enforceable by the law, keeping a few guidelines in mind would be very helpful. Just like any other document, a draft must be first produced for review by both entering parties before it is finalized.

The Right Party

When settling a business agreement, it has to be with the person who has authority and legal rights over business matters. In the case of small businesses, the owner is typically the appropriate person to bind into an agreement with. Do not forget to identify them properly with their complete and correct names. If it is the business name, it has to be the complete registered and official name, including any prefixes or suffixes.

What to Write

A small business agreement must contain everything. This includes all the details regarding the rights and obligations of both parties involved. Anything that has been agreed upon orally must be written down. If in any case you have left out something important, it is possible to come up with an amendment.

Aside from being complete, it should also be specific. A vague business agreement will not serve the purpose of avoiding confusion. This is especially true when it comes to the discussion of payments. You might have observed that a lot of issues arise because of money matters. Spell out everything to avoid money disputes, such as the amounts, dates, requirements, payment method, and other conditions.

Make it Simple

You might have seen all those legal documents with all the legal lingo scattered all around the paper. Organize these sentences into manageable paragraphs, preferably with numbered headings.

Two things that should be present within the agreement are the conditions that could lead to the termination of the contract and the manner on how to settle disputes. For the former, this can allow either party to get out of the agreement without breaching it if one party becomes negligent of his obligations. For the latter, the parties can decide on whether to take care of misunderstandings orally or to proceed directly to the court. In addition to the two, if two parties are from different states, it should be decided as to which state law shall govern the small business contract, since only one can be chosen.

Finally, keep everything confidential. A small business agreement is not a matter of public discourse. An agreement with one business does not need to be shared with other businesses. Overall, coming up with a business agreement seems like you are expecting for the worst to happen. That is actually the case, so that you will be prepared and protected in the unlikely event that it happens.
